Agreement to Terms

Welcome to Meridian Shores, LLC's website ("Site"). These Terms of Use ("Terms") constitute a legally binding agreement between you and Meridian Shores, LLC ("Company," "we," "us," or "our") concerning your access to and use of meridianshores.com and our related services.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site. These Terms apply to all visitors, users, and others who access or use the Site.

The Site is offered and available to users who are 18 years of age or older and reside in the United States or its territories. By using this Site, you represent and warrant that you meet all of these eligibility requirements.

Real Estate Investment & Brokerage Disclosures

Meridian Shores operates as a real estate investment and development company. We specialize in land acquisition, construction funding, and strategic real estate services through our unique "Partner. Design. Build." model. We partner with independent licensed builders and contractors to deliver residential properties.

No Securities Offering

This Site does not constitute an offer to sell or a general solicitation of an offer to buy any securities. Any investment opportunities discussed are offered only to qualified investors through separate private placement memoranda in compliance with SEC Regulation D (Rule 506(b) or 506(c)). Past performance of any investment or real estate strategy does not guarantee future results.

We expressly disclaim any representation or warranty regarding the future profitability of any investment, projected returns, or the performance of any real estate development. All investments involve risk, including the possible loss of principal.

Third-Party Services

Construction, design, and build services are provided by independent licensed contractors and builders with whom we partner. Meridian Shores acts as investor, funder, and real estate broker, not as a construction contractor. All builder partners are independently licensed, bonded, and insured. We do not warrant the quality of construction performed by third-party builders, though we carefully select our partners.

Investment Qualification Standards

Access to certain investment opportunities featured on this Site is restricted to persons who qualify as "accredited investors" within the meaning of Rule 501 of Regulation D under the Securities Act of 1933. By accessing investment materials, you represent and warrant that you either:

• Have individual net worth, or joint net worth with your spouse, exceeding $1 million (excluding primary residence); or
• Had individual income exceeding $200,000 in each of the two most recent years (or joint income with spouse exceeding $300,000) and reasonably expect reaching the same income level in the current year; or
• Are a sophisticated investor with sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of the prospective investment.

We reserve the right to verify accredited investor status through reasonable steps, including review of tax returns, bank statements, or third-party verification services.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Escambia County, Florida.

You hereby irrevocably consent to personal jurisdiction in the State of Florida and waive any objection to venue in Escambia County, Florida. This choice of law and venue provision applies regardless of whether you access the Site from Florida or another jurisdiction.

Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by Meridian Shores, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your Web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution

Build." tagline, and all related names, logos, product and service names, designs, and slogans are trademarks of Meridian Shores, LLC or its affiliates or licensors. You must not use such marks without the prior written permission of Meridian Shores, LLC. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries)
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate Meridian Shores, a Meridian Shores employee, another user, or any other person or entity

Additionally, you agree not to:

• Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site
• Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent
• Use any device, software, or routine that interferes with the proper working of the Site

Limitation of Liability

To the fullest extent permitted by law, in no event shall Meridian Shores, LLC, its affiliates, licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, including any direct, indirect, special, incidental, consequential, or punitive damages.

The foregoing does not affect any liability that cannot be excluded or limited under Florida law. In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing this Site during the twelve (12) months immediately preceding the date of the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Meridian Shores, LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, termination, enforceability thereof, or any use of the Site, shall be determined by arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Mediation Procedures.

The arbitration shall take place in Pensacola, Florida, and shall be conducted in the English language. The arbitrator's decision shall be final and binding on all parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

Waiver and Severability

No waiver by Meridian Shores of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Meridian Shores to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms, our Privacy Policy, and any other agreements expressly incorporated by reference herein constitute the sole and entire agreement between you and Meridian Shores, LLC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
